Terms and Conditions

These Terms and Conditions (the "Terms") form a legally binding agreement between you and Dot Square Lab Limited ("we," "our," or "us") and govern your access to and use of the Companion & Co service (the "Service"). Please read them carefully.
1. Acceptance of these Terms
By creating an account, purchasing credits or a subscription, uploading images, generating portraits, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

References to "Companion & Co" are references to the Service operated by Dot Square Lab Limited.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract in your jurisdiction to use the Service. By using the Service you represent that you meet these requirements.
These Terms apply both to consumers (natural persons acting wholly or mainly outside their trade, business, craft, or profession) and to business users. Where a provision of these Terms would conflict with your non-waivable rights as a consumer under UK or EU law, those statutory rights prevail.
4. Account registration and security
- You must provide accurate and complete information when registering an account and keep it up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You must notify us promptly at contact@companion-and-co.com if you suspect any unauthorized use of your account or any other breach of security.
- We may refuse, suspend, or terminate accounts at our reasonable discretion, including where there are reasonable grounds to suspect a breach of these Terms.
5. The Service
The Service allows you to upload photographs of your pet (and, optionally, other reference images) and generate AI-produced portrait images based on themes and styles we make available from time to time.
AI-generated outputs are probabilistic. While we aim to deliver high-quality portraits, we cannot guarantee any particular aesthetic outcome, likeness, or fitness for a particular use. Features, themes, styles, and pricing may change from time to time.
6. User content — images you upload
- Your warranty. By uploading an image, you represent and warrant that: (a) you own the image or have all necessary rights, licenses, consents, and permissions to upload it and to have it processed as described in these Terms; (b) you have obtained the consent of any identifiable individuals appearing in the image, where such consent is required by law; and (c) the image does not infringe or violate the rights of any third party.
- License you grant to us. You grant us and our service providers a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, process, reproduce, transmit, modify, create derivative works from (including the generated portrait output), and display the uploaded image, in each case for the purpose of providing, maintaining, securing, and improving the Service.
- Deletion. You may delete uploaded reference images from your account at any time via the Service. Deletion removes the image from your account; residual copies may persist for a limited period in backups or logs before being overwritten.
7. Generated outputs
- Subject to your compliance with these Terms, you may use the portrait outputs we generate for you for both personal and commercial purposes.
- To the extent AI-generated output is capable of ownership under applicable law, we assign to you any rights we may have in the specific output generated in response to your request. We make no representation or warranty as to whether AI output is protectable by copyright or similar rights in your jurisdiction.
- You agree not to misrepresent how an output was produced (for example, by claiming that an AI-generated portrait was created manually) where such a representation would be misleading or unlawful.
8. Credits, subscriptions, and top-ups
The Service operates on a credit wallet. Each generation consumes credits at a rate published at the time of use.
- Subscription credits are allocated at the start of each billing period and do not roll over to subsequent periods — unused subscription credits expire at the end of the period.
- Top-up credits are purchased as one-off packages and do not expire while your account remains active.
- When you request a generation, credits are deducted from your subscription pool first, and from your top-up pool second.
- If a generation fails, the credits used for that generation are automatically refunded to the same pool(s) they were deducted from (see our Refund Policy).
- Prices, plans, and credit costs may change; material changes will be notified in advance and will apply prospectively to renewals, top-ups, or generations made after the change takes effect.
9. Billing, auto-renewal, and cancellation
- Subscriptions are billed via our payment processor on a recurring basis at the interval you selected (for example, monthly).
- Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel.
- You can cancel your subscription at any time via your account profile. Cancellation takes effect at the end of the current billing period: you retain access and subscription credits until the end of that period, after which the subscription will not renew.
- Outside the 14-day withdrawal window described in our Refund Policy, we do not issue pro-rated refunds for subscription fees already paid.
10. Prohibited uses
You agree not to:
- upload images you do not have the rights or permissions to upload, including images of other people without their consent;
- upload or attempt to generate content that is unlawful, infringing, defamatory, harassing, hateful, sexually explicit, or otherwise harmful, or that depicts minors in a sexualised manner;
- use the Service to impersonate a real person in a manner likely to deceive, or to produce content intended to facilitate fraud, identity theft, or defamation;
- upload content you know or reasonably should know contains malicious code or is intended to compromise the Service or its users;
- reverse-engineer, decompile, or otherwise attempt to derive the source code, models, or trade secrets underlying the Service, except to the extent such restrictions are prohibited by applicable law;
- scrape, spider, or use automated means to access the Service outside of any rate limits or APIs we make available;
- use the Service in breach of any applicable law or third-party right.
We may investigate suspected breaches and take any action we consider appropriate, including suspension or termination of your account, removal of content, and reporting to authorities.
11. Intellectual property
- All rights in the Service, including our website, software, trademarks, logos, themes, styles, and curated content, are owned by us or our licensors and are protected by intellectual-property law. Except as expressly permitted, you may not copy, modify, distribute, or create derivative works from the Service.
- You retain ownership of your uploaded images, subject to the license you grant in Section 6.
- Nothing in these Terms transfers any intellectual-property rights to you except as expressly stated.
12. Third-party services
The Service relies on third-party providers, including a payment processor (Stripe, Inc.), a transactional email provider (Resend, Inc.), and cloud infrastructure and AI image-generation service providers. These providers operate under their own terms and privacy policies. By using the Service you acknowledge that certain features require interactions with these providers and that your use of them is subject to their terms.
13. Disclaimers
The Service and all generated outputs are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, representations, and conditions of any kind, whether express, implied, or statutory, including any warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, accuracy of AI outputs, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, secure, or that defects will be corrected, or that any particular generation request will produce a specific, consistent, or desired result.
Nothing in this Section excludes or limits any warranty, right, or remedy that cannot be excluded or limited under applicable UK or EU consumer-protection law.
14. Limitation of liability
To the maximum extent permitted by applicable law:
- We shall have no liability to you for any indirect, consequential, special, incidental, punitive, or exemplary damages; and no liability for loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data or information, business interruption, or reputational harm, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, and whether or not such loss was reasonably foreseeable or we were advised of the possibility.
- Our total aggregate liability to you for all claims arising from or related to the Service or these Terms, however arising, is limited to the total fees paid by you to us during the twelve (12) months immediately preceding the event giving rise to the claim, and, where you have not paid us any fees in that period, to one Pound Sterling (£1).
Nothing in these Terms excludes or limits our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation;
- any liability under the UK Consumer Rights Act 2015 or equivalent EU consumer-protection law that cannot be excluded or limited; or
- any other liability that cannot be excluded or limited under applicable law.
Nothing in this Section affects your statutory rights as a consumer.
15. Indemnification
If you use the Service in the course of a business, craft, trade, or profession, you agree to indemnify, defend, and hold harmless Dot Square Lab Limited and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) content you upload or generate; or (c) your violation of any law or third-party right.
This Section does not apply to consumers.
16. Suspension and termination
- You may terminate these Terms at any time by closing your account. Any remaining subscription will cease to renew at the end of its current billing period.
- We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have breached these Terms, pose a risk to us, the Service, or other users, or where required by law.
- On termination: your right to use the Service ends immediately; we will handle your personal data in accordance with our Privacy Policy; and provisions of these Terms that by their nature survive termination (including Sections 6, 7, 10, 11, 13, 14, 15, 17, and 19) will continue to apply.
17. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable advance notice (for example, by email or an in-Service notice) before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept the updated Terms, you must stop using the Service and may cancel any subscription in accordance with Section 9.
18. Governing law and jurisdiction
- These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of England and Wales.
- The courts of England and Wales have exclusive jurisdiction over any such dispute or claim, except that if you are a consumer resident in the European Union, you may bring proceedings in the courts of your country of residence, and the mandatory consumer-protection laws of that country apply to the extent required.
- EU consumers may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr to submit a dispute relating to an online contract.
19. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and us in relation to the Service.
- Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions continue in full force and effect; the unenforceable provision will be replaced by an enforceable one that most closely reflects the original intent.
- No waiver. A failure to enforce a right or provision of these Terms does not constitute a waiver of that right or provision.
- Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
- Notices. Legal notices to us must be sent to contact@companion-and-co.com and to our registered address.
